Roxburgh Milkins advises managment team on purchase of WSP Textiles

Twenty years after it was bought by U.S.-based Milliken & Company, the Stroud textile business Milliken Woollen Speciality Products has returned to British ownership.

The business has been christened WSP Textiles Ltd, with three senior members of the management team (Chief Executive David Smith, Sales Director Duncan Kettell and Manufacturing Director Malcolm Fallows) joining a new board of directors.

The acquisition was arranged by Vespa Capital LLP, a private equity firm that helps management teams acquire and develop the businesses they manage.

Commenting on the investment in WSP Textiles, Nigel Hammond said: “We are delighted to be investing in a world class, UK based, manufacturer and look forward to supporting the management team in delivering their investment plans. We believe the number of people playing tennis and snooker will increase around the world, particularly in Asia, and this will underpin the company’s growth prospects.”

The original company had made cloth since the 13thcentury and the WSP acronym recognises the founding mill owners, Messrs Winterbotham, Strachan and Playne.

Today the Strachan brand dominates the snooker market while Playne’s tennis ball cloth can be found on Dunlop, Wilson, Head and Babolat tennis balls used at many tournaments including Wimbledon and the French Open.

Bakery chain Cornish Bakehouse has been purchased from private equity house HgCapital. Roxburgh Milkins advised the buyers on the acquisition which sees founders Tim Symons and David Christopher take back control of the company as part of an acquisition team including Philip Samuel (former member of the HgCapital buy in team and Frank Bradshaw (the founder of Newquay based Crantock Bakery).

The company, which sells traditional Cornish pasties and has 25 outlets throughout the south of England, was established by Tim Symons who opened his first pasty shop in St Ives over 20 years ago. The company was sold to a buy in team led by HgCapital in August 2007.

Roxburgh Milkins has recently advised long standing client, Pinnacle Regeneration Group, on a £30m investment in the company by three prominent Hong Kong-based investors.

Pinnacle is one of the biggest private operators of social housing in the UK. The new capital will provide a significant boost to Pinnacle’s expansion plans in urban regeneration in the UK at a time when Local Authorities, under funding pressure, are looking for innovative ways of developing and improving their housing services.

The lead investor is Chow Tai Fook Enterprises (CTFE), the privately-held holding company for the Cheng family, one of Hong Kong’s most influential and successful families. CTFE’s listed flagship company is New World Developments, which has total assets of £18bn. The group also includes Sammy Lee, a prominent property developer whose projects include ‘The Knightsbridge’ (completed in 2005 and which achieved a record-breaking sales value of over £600m) and Peter Fung, a well-known financier.

“We see this investment as the beginning of something significant in terms of a different approach to developing and improving housing through regeneration schemes. The Hong Kong investors know the UK property market well and understand the importance of the opportunities to develop partnerships with Local Authorities across the country.” Godfrey Blott, chairman of Pinnacle.

"Once again the team at Roxburgh Milkins delivered for us. Their partner-led approach and ability to address issues pragmatically in at times difficult negotiations were only rivalled by their committed yet calm approach. A pleasure to work with and we look forward to the next opportunity." Andrew Saunders, director of corporate finance at Pinnacle.

New European microelectronics business network launched.

We have recently advised on the formation of the European Microelectronics Academy.

The EMA is to be supported by a number of key industrial and financial partners including NESTA and Mentor Graphics.

The aim of the EMA is to act as the hub of a network which promotes and supports microelectronics companies and the microelectronics industry in Europe. Through its partners, the EMA will be able to offer support to start-ups which will accelerate their development. Through this partnership the EMA's partners will be exposed to new technology. By linking new and established businesses together strategic partnerships will be formed and innovation encouraged.

Carson Bradbury will be the CEO of the EMA. Carson is well known in the microelectronics industry and sits on the advisory board of The Indian Microelectronics Academy (IMA). The IMA is similarly constituted to the EMA and it is hoped the two organisations will develop close links.

Our work on the formation of the EMA follows on from our work for a number of young microelectronics companies from the cluster based in south west England such as XMOS, Xintronix and Blu Wireless.
