The Client: Centellic

Centellic is a technology-enabled information services business powering the global legal industry with intelligence, analytics and performance data. It is a fast-growing, innovative company with a dynamic and diverse culture, who takes great pride in delivering a world-class service to global clients via their platforms. 

With an international team of over 500 experienced professionals, Centellic has a proven track record of informing, engaging and connecting legal practitioners. Centellic was founded as Law Business Research (LBR) in 1996, and since then it has grown to having an international presence.

How we’ve helped: 
We have been working with Centellic for over five years now, supporting their growth ambitions as well as the day to day. 

Corporate work: 

We have helped with several recent acquisitions of UK entities as they were added to the growing group through a buy & build strategy. The first of these was Worldwide Legal Research (trading as Legal Monitor) in 2022, followed by MBL Seminars in 2023, and most recently, The Legal Geek in 2025. 

Company Secretarial: 

As the group grows and expands internationally, we now provide full company secretarial support to all 15 UK registered group entities (including an overseas registered branch) as well as acting as a global Company Secretarial support function world-wide. This work includes: 

• Reconstituting statutory registers of all UK entities, which we now maintain
• Keeping the records up to date at Companies House and help with all routine filings and all corporate actions, ensuring that everything is done efficiently and is fully compliant
• Act as a ‘central CoSec’, supporting and managing Centellic’s relationship with Agents around the world, in relation to group entities registered in US, Hong Kong, Australia and Jersey.
• Assisted with the consolidation of Agents in some of the jurisdictions (i.e. bringing entities in the same jurisdiction under one Agent, rather than each entity having a different Agent in their area). 

All of these actions give the client peace of mind that everything is taken care of consistently and with compliance in mind, giving them opportunity to focus on running their business knowing that this important aspect is handled by our experienced CoSec team (backed by our qualified lawyers).

This support structure also makes it more cost effective for Centellic. By making things easier from administration point of view, when changes need to be made (i.e. change of officers / managers, change of office addresses etc) - instructing one Agent to make named changes is more time effective than contacting several Agents in the same jurisdiction.

It also saves time and is very convenient when information on the group entities is requested by the auditors or other parties. We are able to effectively collate all the information and present it back in a timely manner, without the need for the client's input.

Commercial work:

Our Commercial team have also helped alongside these acquisitions, providing virtual in-house support to the sales and contracts teams. We helped to redraft standard contracts and managed customer negotiations alongside the COO.
